Art. 809 CO
I soci esercitano in comune la gestione della società. Lo statuto può disciplinare altrimenti la gestione.
Soltanto persone fisiche possono essere designate quali gerenti. La persona giuridica o la società commerciale che partecipa alla società designa se del caso una persona fisica incaricata di esercitare tale funzione in sua vece. Lo statuto può subordinare tale designazione all’approvazione dell’assemblea dei soci.
Se la società ha più gerenti, l’assemblea dei soci deve regolamentare la presidenza.
Se la società ha più gerenti, questi decidono a maggioranza dei voti emessi. Il presidente ha voto preponderante. Lo statuto può disciplinare altrimenti le deliberazioni dei gerenti.
