Art. 697c CO

Ogni azionista che già si è avvalso del diritto di ottenere ragguagli o di consultare documenti può proporre all’assemblea generale che periti indipendenti verifichino determinati fatti, in quanto ciò sia necessario per l’esercizio dei suoi diritti.

Se l’assemblea generale accede alla proposta, la società od ogni azionista può, entro trenta giorni, chiedere al giudice di designare i periti incaricati di eseguire la verifica speciale.
